IN BRIEF: Zscaler proposes USD1.5 billion plus private notes offer

Zscaler Inc - San Jose, California-based cybersecurity company - Proposes a private offer to qualified institutional buyers of USD1.5 billion in convertible notes maturing July 15, 2028. The initial purchasers will also be granted a 13-day option to acquire an additional USD225 million of notes. The company says the completion date, actual size, and terms of the offer, are not yet assured.

Zscaler says: "Zscaler intends to use a portion of the net proceeds from the offering to pay the cost of the capped call transactions...Zscaler intends to use the remainder of the net proceeds for general corporate purposes, which may include working capital, capital expenditures, and potential acquisitions and strategic transactions."
