Wolters Kluwer to acquire corporate services firm for USD415 million

(Alliance News) - Wolters Kluwer NV on Friday said it has signed an agreement to acquire Texas-based Registered Agent Solutions Inc for approximately USD415 million in cash.
The Alphen aan den Rijn, Netherlands-based software solutions and professional services firm said Wolters Kluwer Financial & Corporate Compliance has signed an agreement with Lexitas, a legal services provider backed by funds advised by Apax Partners, to purchase the firm for approximately USD415 million in cash.
Registered Agent Solutions is a registered agent service company serving law firms, corporations and small businesses.
Wolters Kluwer said the acquisition will expand the presence of FCC Legal Services with small businesses, middle-market companies and law firms in the US.
Wolters Kluwer noted that in 2024 Registered Agent Solutions generated revenue of approximately USD52 million, adding that it has a track record of profitability.
It anticipates the transaction reaching a return on invested capital at or above its after-tax weighted average cost of capital (8%) in its fifth full year of ownership.
In the short term, said Wolters Kluwer, the transaction will have an immaterial impact on adjusted earnings.
It expects the combination to complete in the first-half of 2025.
Shares in Wolters Kluwer closed flat at EUR176.55 on Friday in Amsterdam.
